This template provides a share register (Aktienbuch; registre des actions) for Swiss law corporations (Aktiengesellschaften; sociétés anonymes) with registered shares (Namenaktien; actions nominatives) pursuant to article 686 of the Swiss Code of Obligations (CO) which may also be used as register of the beneficial owners pursuant to article 697l CO.

Description

Corporations with registered shares are obliged by law to keep a share register and a register of the beneficial owners (article 686 and 697l CO). This template allows to create a basic share register and register of the beneficial owners. The details of the shareholders and beneficial owners may then be inserted manually.

  • Details of the company and the shares.
  • Details of the person signing the register.
