MLL Legal advises Taco Group Holdings on its USD 1.4 billion sale of the Taco Group to Pentair

MLL Legal AG, as European and Swiss legal counsel, acted alongside Loeb & Loeb LLP, as US counsel, in connection with the sale of Taco Group Holdings (Taco) to Pentair plc (NYSE: PNR). Following the signing of the definitive agreement on 27 July 2026, the transaction successfully closed on 1 October 2026.

With a transaction volume of USD 1.4 billion, subject to customary adjustments, the acquisition represents a landmark transaction in the global water and HVAC sector. Taco’s leading position in hydronic and water-based HVAC solutions is expected to accelerate Pentair’s growth strategy and expand its portfolio of smart, sustainable water solutions aligned to secular water trends. Bringing together Pentair’s and Taco’s complementary portfolios, channels and go-to-market strategies will enable the combined company to broaden customer access and deepen partnerships, creating cross-selling opportunities and new revenue streams.

MLL Legal AG was primarily active on the European and Swiss aspects of the transaction, with a particular focus on Taconova Group AG and its operations in Germany, United Kingdom, Czech Republic and Poland. The MLL Team was led by Karin Oberlin and Dr. Alexander Vogel (both Partners, Corporate / M&A) and included Samuele Celio (Associate, Corporate / M&A), Dario Buschor (Associate, Corporate / M&A) and Leonardo Rusca (Junior Associate, Corporate / M&A) as well as Renato Bucher (Partner, Competition), Thomas Kälin (Partner, Employment Law), Mark-Anthony Schwestermann (Senior Associate, Employment Law), Nicola Benz (Partner, IP/ ICT), Mimoza Ademaj (Senior Associate, Dispute Resolution), Lea Sykora and Nicolas Luginbühl (both Junior Associates). Lead international counsel to Taco Group Holdings and the White family was Loeb & Loeb LLP, New York. The Loeb & Loeb team was led by Michael Martell and Matt Friedman.
