MLL Legal advises AXISCADES on strategic divestment of aerospace engineering services business to Akkodis
MLL Legal, advised AXISCADES Technologies Limited on Swiss legal aspects, along with European legal practice Osborne Clarke, as well as with Borden Ladner Gervais (BLG) in Canada and Kelley Drye & Warran in the US, under the lead of Indian law firm Cyril Amarchand Mangaldas (CAM), regarding the overseas leg of the strategic divestment of its Aerospace Engineering Services business to Akkodis, a global digital engineering consulting company headquartered in Zurich.
AXISCADES Technologies Limited is a publicly listed Indian aerospace and engineering company and a longstanding engineering services partner to global aerospace OEMs. The transaction forms part of AXISCADES’ strategic transformation from a services-led organization into a proprietary products and IP-focused manufacturing platform across aerospace, defense, electronics, semiconductors and AI.
The divested Aerospace Engineering Services business encompasses design, engineering analysis, certification support and lifecycle engineering services for international aerospace OEMs. The transaction is subject to customary regulatory clearances and is structured in two tranches: Akkodis will initially acquire a 51% controlling interest in the business, with the remaining 49% intended to be acquired within 24 to 30 months following completion of the first tranche.
With touchpoints across India, Switzerland, Germany, United Kingdom, France, UK and US the transaction required seamless cross-border coordination. It supports AXISCADES Technologies Limited’s strategic repositioning from a services-led organization into a proprietary products and IP-focused manufacturing platform across aerospace, defense, electronics, semiconductors and AI.

CAM acted as Indian legal lead advisor, BDO advised on transaction structuring and tax, and Lincoln International acted as exclusive sell-side transaction advisor.
