MLL Legal advised the Jebsen family on the carveout of Gearbulk’s non-core business and the partial sale of their shareholding to Mitsui O.S.K. Lines

Gearbulk is a leading integrated shipping company headquartered in Switzerland which provides high quality shipping and terminal services around the globe for various industrial sectors.

As part of the transaction, the core business (open hatch) and the non-core business were unbundled and the non-core business carved out of the Gearbulk Group. The shareholdings of the partners were reorganised so that Mitsui O.S.K. Lines now holds 72 percent of the core business, while the Jebsen family continues the entire non-core business. The transaction strengthens the financial capacity of the Gearbulk Group and its commitment to G2 Ocean, a joint venture with Grieg Maritime Group which operates more than 120 vessels.

MLL Legal advised Gearbulk and the Jebsen family in co-operation with various foreign law firms on all legal and tax aspects of the transaction.
